At the Special General Meeting members considered and passed the following resolution:

“That in accordance with clause (18) of the constitution, the organisation known as the Friends of The National Archives, registered charity No. 328630 (the existing unincorporated association [UA] charity) be DISSOLVED on 19 November 2020 (or such other date as the trustees may decide) and all assets and liabilities held for the purposes of the charity be transferred to the new charitable incorporated organisation that was registered on 25 October 2019 under the Charities Act 2011 to be known as the Friends of The National Archives CIO, registered No. 1185971 (the CIO).

The CIO charity has been formed with objects as similar as possible to those of the existing UA charity (subject to any updating for present circumstances),

THIS RESOLUTION AUTHORISED THE CHARITY TRUSTEES OF THE EXISTING CHARITY (the UA)

• To sign such agreements and execute such deeds as are necessary to give effect to this transfer; and
• PROVIDED that, in the case of assets held for restrictive purposes, they shall ensure that similar restrictions are imposed when the assets are transferred to the CIO.”
